The normal procedures for billing require resellers to bill their clients at the rate agreed upon by reseller and their customers and NetPass bills reseller at rates agreed upon by NetPass and reseller.
Normally, NetPass will not handle direct billing. Exceptions include cases where you do not intend to mark-up service fees and have provided your clients quotes based on NetPass retail rates. Otherwise, a small administration fee will be required each month for NetPass to bill your clients direct. Approval for this arrangement must be obtained prior to execution.
No. NetPass views its resellers in the same light as its clients and respects the integrity, confidentiality and non-compete aspects of the reseller relationship. For example, if you are a developer and wish to utilize NetPass hosting/broadcasting services, NetPass will flag your client under your reseller agreement and will not include that client as a prospect in its own sales process.
Under these circumstances, the RFP provider remains a prospect for both NetPass and reseller and neither NetPass nor reseller will be required to withdraw their respective bids as part of the selection process.
Payment for all services rendered by NetPass to reseller and/or their client(s) are due on the first of each month. Resellers will be provided with appropriate invoicing detailing in itemized fashion all reseller client services under contract along with fees for these services.
If you are an Authorized NetPass Reseller and you are not utilizing reseller rates (marked-up) but instead are providing a value-add service with NetPass obtaining retail rates for services, then there is no minimum performance requirement. However, if you are using NetPass reseller rates, performance requirements will be established. These requirements are based on the primary services you are utilizing through our service and are defined at the time you are selected for this program.
Certain services such as production only, one-time networking and spot marketing will not require minimum timeframes for service provision. However, services like hosting/broadcasting will require minimum of three (3) month terms. NetPass reserves the right to refuse and/or cancel services at any time at its discretion. This is usually the result of resellers and/or their clients misusing NetPass services or broadcasting (in site or by e-mail, etc.) inappropriate and/or illegal content outside of NetPass' defined Acceptable Use Policies.
